When the Data Was There and You Missed It
There is a particular kind of painful deal post-mortem - probably the most common kind - where the risk that ultimately defined the outcome was technically visible in the data room. It was in an appendix to an environmental report, or buried in a production reconciliation table, or implied by three separate numbers that nobody reconciled against each other. It was there. It simply was not found.
This is worth distinguishing from the simpler narrative about due diligence failure, which tends to blame insufficient information. Insufficient information does cause deals to go wrong. But the more common pattern, and the harder one to address through effort alone, is that the information existed and was missed. The data room contained what you needed to know. The synthesis did not follow.

The commitment problem

The common framing of AI's impact on diligence is efficiency: the same work done faster. This is accurate but it is the less important change.

The speed point remains real but should be understood as a consequence of coverage rather than a separate benefit. A comprehensive risk analysis that previously required weeks of human analyst time can be completed in hours, not because corners are cut but because the system can process volume that would take a human team far longer without the fatigue and attentional narrowing that accumulates over extended data room reviews. For competitive processes with compressed timelines, this matters. For transactions where the diligence window has been constrained by vendor or process dynamics, it matters more.
The risks that only exist at intersections
The failure mode that produces the most severe outcomes in resource transactions is typically not a single undisclosed risk but a combination of factors that each appeared manageable in isolation. An ore grade trending below reserve estimate, which is within normal variance. Environmental compliance costs increasing, which is industrywide. A water access arrangement that is technically secure but practically dependent on a regulatory interpretation that has not yet been tested. Separately, each is a yellow flag. Together, under stress conditions, they can be existential.
Identifying this kind of compound risk requires not just reviewing each area thoroughly but understanding how each interacts with the others under different operating scenarios. This is analytically demanding work. When the full data set is being processed under time pressure by a team of humans with competing priorities, the probability that these intersections are systematically identified is lower than deal teams typically acknowledge.
The scenario modelling that AI-powered intelligence enables - running risk combinations against historical analogues across comparable asset classes - does not guarantee that compound risks are caught. But it substantially improves the probability compared to a linear human review that processes each area largely in isolation.
The honest tension
A system that flags risks comprehensively also flags things that are not risks. The calibration of any AI diligence tool - the signal-to-noise ratio in its output - is as important as its coverage. A risk report that surfaces three hundred flags of varying severity is not automatically more useful than one that surfaces fifteen well-prioritised ones. The analyst still has to exercise judgment on what the output means, and that judgment requires the kind of asset-specific and context-specific understanding that experienced practitioners bring and that no system yet fully replicates.
The more honest framing is not that AI replaces human diligence judgment but that it changes what human judgment is applied to. Instead of deciding which areas of a large dataset to examine carefully and which to skim, experienced analysts can apply their judgment to a comprehensive, systematically generated risk picture. The task shifts from managing coverage under time pressure to evaluating a complete output. That is a more appropriate use of senior expertise, and it produces more reliable results.
